These Terms and Conditions ("Terms") govern all purchases, commissions, and services provided by Josefina LLC ("Josefina," "we," "us," or "our"), whether through www.josefinabailleres.com (the "Site"), email, consultation, or any direct communication.

You should review these Terms before purchasing any product or service available through this Site. Your continued use of this Site after the "Last Updated" date constitutes acceptance of and agreement to any changes.

By placing an order, commissioning a piece, or engaging with Josefina LLC, you agree to be bound by these Terms, together with our FAQ, Terms of Use, and Privacy Policy, which are incorporated by reference. In the event of any conflict, these Terms & Conditions shall prevail.

1. Business model

Josefina LLC operates primarily on a made-to-order and custom design model. Most pieces are produced only after an order is placed and are not maintained as standing inventory. Each piece is individually crafted; variations in gemstones, tone, or minor details may occur and are inherent to fine jewelry.

2. Definitions

"Client" means the individual or entity purchasing products or services from Josefina LLC.

"Simple Made-to-Order" — a jewelry piece produced upon order using an established design, with no additional structural development or complex detailing, and not held as standing inventory. These typically include, but are not limited to, wedding bands or minimal engagement rings.

"Custom Made-to-Order" — a jewelry piece created specifically for a Client, based on an existing structure or design direction, and customized in proportions, materials, gemstone selection, finishes, or other design elements, without requiring full structural development.

"One-of-a-Kind" — a jewelry piece developed entirely from scratch, involving original design and, where applicable, advanced engineering, multiple iterations of 3D modeling and design refinement, prototyping, or testing to ensure comfort, durability, and performance.

"Revive Project" means any redesign, reuse, resetting, or transformation of jewelry or materials owned by the Client.

"Client-Owned Materials" means any gemstones, metals, or components provided or owned by the Client.

"Deposit" means any non-refundable payment required prior to commencement of design, sourcing, or production.

"Final Payment" means the remaining balance due prior to shipment, delivery, or release.

3. Order acceptance

All orders constitute an offer to purchase and are subject to acceptance by Josefina LLC, which reserves the right to accept or reject any order in its sole discretion. An order is not considered accepted until Josefina confirms the order, or design, sourcing, or production has commenced.

Josefina reserves the right to refuse or cancel any order at any time for any reason, including but not limited to: pricing or technical errors, sourcing limitations, design feasibility, suspected fraud, or any circumstance deemed appropriate in our sole discretion.

4. Custom design process

Custom Made-to-Order and One-of-a-Kind pieces are designed and produced individually. Natural variation, iterative development, and occasional structural or aesthetic adjustments after wear may occur. Such adjustments are not defects, but inherent characteristics of handcrafted jewelry. By purchasing such a piece, the Client acknowledges that craftsmanship involves refinement rather than absolute uniformity, and that adjustments may be recommended over time to ensure proper wearability, comfort, and durability.

Custom projects may include, as applicable: consultation, design direction and concept development, sketches or visual references, 3D modeling and design refinement, gemstone sourcing, revisions, final approval, and production.

Josefina LLC reserves the right to determine when a design is finalized and ready for production. Production will not begin until design approval has been confirmed and the required Deposit has been received. For complex or high-value projects, consultation may be required prior to acceptance.

Digital 3D models and design approval. Digital 3D models, sketches, renderings, photographs, and other visual materials are representations of the proposed design. They are not guaranteed to reproduce the exact color, scale, proportions, gemstone appearance, surface finish, or handmade details of the completed piece. Natural gemstones and handmade jewelry may display variations in color, inclusions, texture, proportions, and finish; these variations are inherent characteristics and are not considered defects.

Approval of the final digital 3D model and specifications constitutes authorization to proceed with production. Changes requested after approval may be subject to additional design, sourcing, material, labor, and production charges, and may require an adjusted production timeline. Josefina LLC reserves the right to determine whether a requested change is technically feasible.

5. Production timelines

Most custom pieces are generally completed within 2–6 months after: the design and final digital 3D model have been approved in writing; the final size, stones, materials, and specifications have been confirmed; and the required 70% deposit has been received in cleared funds.

Simpler designs may be completed sooner. Highly complex, innovative, or one-of-a-kind pieces may require additional time for stone sourcing, engineering, physical mock-ups, testing, refinement, or laboratory certification — top-tier and high-jewelry commissions can extend to 12 months or more.

All production and delivery timelines are estimates only and are not guaranteed. Josefina LLC is not liable for delays arising from sourcing, material availability, laboratory processing, design complexity, carrier operations, customs procedures, force majeure, or circumstances beyond its reasonable control.

6. Pricing

Pricing may be provided as an estimate or range. Final pricing may change due to design refinements, gemstone availability, production requirements, or fluctuations in precious metal and gemstone markets.

Josefina LLC reserves the right to re-quote or adjust pricing if materials become unavailable or if costs change due to design development, innovation, testing, or multiple iterations required to complete the piece. Any such adjustments will be communicated to the Client in advance and, where applicable, approved prior to proceeding. The final invoiced amount shall govern.

7. Payment methods

Wire transfer — our preferred method for both domestic and international clients. For international transfers, services such as Wise may be used. All banking details are provided within the invoice.

Credit or debit card — available upon request and processed via invoice. Card payments are subject to a processing fee (typically approximately 2.99%), clearly indicated in the invoice.

Zelle — available for domestic clients; transfer details are provided with the invoice.

Cattina collection — U.S. orders are purchased directly through the website checkout; international orders are processed via invoice upon request.

Custom, Revive, and pre-order projects — processed exclusively via invoice, which includes full payment instructions and applicable terms.

8. Deposits and payment structure

An initial non-refundable deposit is required to begin creative development, design research, and/or stone sourcing: $500 for pieces priced at $15,000 or above, and $250 for pieces priced below $15,000. The initial deposit will be credited in full toward the final purchase price.

Once either the design direction or principal stone has been selected, the Client must pay 70% of the agreed purchase price to confirm the commission and proceed with further development and production.

The remaining balance — 30% of the total purchase price, less the initial deposit already paid — is due before shipment, delivery, release, or collection of the piece.

All deposits are non-refundable and non-transferable. Production will not begin until the required payment has been received in cleared funds. Credit and debit card payments are subject to a 2.99% processing fee. Josefina LLC also accepts Zelle and wire transfers.

9. Final payment and adjustments

9.1 Invoicing and final payment

An initial invoice is issued to process the required Deposit and initiate the project. The final balance is confirmed once production is complete, and must be paid in full prior to shipment, in-person delivery or collection, or release of the piece under any circumstances. Josefina LLC reserves the right to withhold shipment, delivery, or release until full payment has been received and cleared.

9.2 Pricing accuracy

While Josefina LLC strives for pricing accuracy, errors may occur. Josefina LLC reserves the right, at any time and without prior notice, to correct such errors, update pricing, or cancel or refuse orders affected by them. For pre-order, custom, or made-to-order work involving gemstones or specialized materials, availability and pricing may change; if so, the Client will be notified and provided with updated pricing or alternative options before proceeding.

10. Taxes, fees, and additional charges

Unless otherwise expressly stated, all prices exclude applicable taxes, payment processing fees, shipping costs, and international duties or import fees.

Sales tax applies to orders shipped to or collected in New York, in accordance with applicable regulations. International orders: clients are responsible for all customs duties, import taxes, and related fees imposed by their country. All applicable charges are outlined in the invoice or checkout confirmation prior to payment.

11. Discounts and promotions

From time to time, Josefina LLC may offer discounts or promotions, subject to change, modification, or cancellation at any time without notice. Each offer is governed by its own terms, including eligibility, duration, and applicability, and may be limited to certain pieces, collections, or purchase methods. In the event of conflict between a promotion and these Terms, the promotion's terms prevail solely for that promotion.

12. Revive projects and client-owned materials

Revive Projects involve working with Client-Owned Materials. Josefina LLC reserves the right, in its sole discretion, to determine whether such materials are suitable for use. Certain stones or materials may be declined, including but not limited to emeralds, opals, pearls, turquoise, tanzanite, and fragile or heavily included stones.

The Client acknowledges that working with previously mounted materials involves inherent risks due to age, prior wear, internal characteristics, treatments, and structural integrity. Josefina LLC shall not be liable for breakage, chipping, cracking, loss, or structural damage arising from the inherent condition or nature of Client-Owned Materials.

13. Shipping and delivery

13.1 General conditions

Orders will not be shipped until production is complete and Final Payment has been received and cleared. All shipments are insured while in transit and require an adult signature upon delivery. Clients are responsible for providing accurate shipping information and inspecting shipments immediately upon receipt. Josefina LLC is not responsible for shipping or transit delays, customs processing delays, or carrier-related issues.

13.2 International shipping

Josefina LLC is happy to arrange international delivery to destinations permitted by its shipping partners, insurers, and applicable law. International shipping availability, cost, insurance, and estimated timing are confirmed individually. Unless otherwise agreed in writing, international orders are shipped with duties and taxes unpaid; the Client is the importer and is responsible for complying with all requirements imposed by the destination country.

The Client is solely responsible for paying: customs and import duties; VAT, GST, IVA, sales tax, and other local taxes; customs-clearance and brokerage charges; carrier advancement or disbursement fees; storage, inspection, documentation, and administrative fees; and any other charges imposed by the carrier, customs broker, or destination country. These charges are not included in the purchase price or shipping fee and are normally collected directly from the Client by the carrier, customs broker, or local authority before or upon delivery.

As a general reference, Clients should budget approximately 20% of the piece’s declared value for these charges combined. This percentage is an estimate only and is not guaranteed; final charges may be substantially lower or higher.

All international shipments are declared accurately at their full purchase value. Josefina LLC will not declare an order as a gift, reduce its value, or provide inaccurate customs documentation. Customs authorities may require the Client to provide identification, tax information, an importer number, proof of payment, or other documentation, and the Client is responsible for responding promptly to these requests.

Customs inspections and clearance procedures may delay delivery. Such delays are beyond the control of Josefina LLC and do not constitute grounds for cancellation, refund, or chargeback. If the Client refuses delivery, fails to complete customs requirements, or does not pay the applicable charges, the Client remains responsible for the purchase price and all resulting storage, return, recovery, customs, insurance, and reshipping costs.

13.3 Risk of loss and title

Once a shipment has been transferred to the carrier, title and risk of loss pass to the Client. Delivery timelines, handling, and transit conditions are outside of Josefina LLC's control.

13.4 Loss, damage, and claims

All shipments are insured and documented prior to dispatch. If a package is lost or arrives damaged, the Client must notify Josefina LLC as soon as possible, ideally within 24 hours of delivery or carrier notification. If a package arrives visibly damaged, refuse delivery where possible and notify the carrier immediately, or document the condition with clear photographs and contact us promptly. Claims are processed through the carrier and applicable insurance provider; Josefina LLC will assist where appropriate, but final determinations are made by the carrier and insurer. Customs delays, unpaid duties or taxes, incorrect shipping information, and missed delivery attempts are not transit damage and remain the Client's responsibility.

13.5 In-person pickup

In-person pickup in New York is available by appointment only; walk-ins are not permitted. Applicable New York sales tax (currently 8.875%) applies.

14. Returns and exchanges

Due to the nature of custom and made-to-order production, the following are final sale: One-of-a-Kind pieces, Custom Made-to-Order pieces, pre-order pieces, personalized items, and Revive Projects.

Cattina collection: select Cattina© pieces may be eligible for exchange only if unworn, approved by Josefina LLC, and a replacement item is available. All exchanges are subject to Josefina's discretion.

Return shipping: for exchanges due to an error on our part, return shipping is free; for refund requests, customers are responsible for return shipping costs.

15. Resizing

Resizing is available only for certain designs. To inquire about eligibility, contact our team at contact@josefinabailleres.com and include your order number. Clients must obtain approval before sending any piece. Resizing may incur service fees, re-doing the piece where required, shipping costs, and production timelines.

16. Warranty

Josefina LLC provides a 30-day limited warranty covering manufacturing defects.

Covered: structural issues; loose or missing stones due to production; manufacturing defects such as loose prongs, missing pavé stones, broken clasps, or broken soft chains.

Not covered: normal wear, misuse, accidental damage, chemical exposure, loss or theft, and third-party repairs. Any third-party modification voids the warranty.

17. Repairs and maintenance

17.1 Repairs

After the warranty period, repair services may be offered at the sole discretion of Josefina LLC. All repair requests are subject to evaluation of the piece, applicable service fees, and production timelines based on the scope of work. Josefina LLC reserves the right to determine whether a piece is eligible for repair and the appropriate method of service.

17.2 Jewelry maintenance

Jewelry requires regular care to preserve its condition, structural integrity, and longevity. The Client is responsible for periodic inspections, including checking prongs, settings, and bezels at least once per year, or more frequently depending on wear. Failure to properly maintain a piece may result in damage, stone loss, or structural wear — these are considered normal wear, not manufacturing defects. 17.3 Material-specific care

Different materials require varying care. Certain gemstones — including opals, pearls, emeralds, turquoise, and stones with lower hardness — are more susceptible to scratching, chipping, and damage, and require careful handling and storage. Even durable gemstones such as diamonds, sapphires, and rubies should be protected from extreme conditions. Clients are responsible for caring for their jewelry in accordance with the nature of its materials; improper care or misuse is not a manufacturing defect.

18. Certifications and evaluations

18.1 Certification

Diamonds above 0.50 carats are certified by GIA. Gemstones above 3 carats are certified by GIA and/or another reputable independent laboratory. Certification for smaller stones may be requested at the Client’s expense, subject to laboratory eligibility, availability, fees, and additional processing time.

Laboratory reports provide an independent assessment of a stone’s characteristics. They do not constitute a financial valuation, retail appraisal, guarantee, or warranty by Josefina LLC or the issuing laboratory.

18.2 External evaluations

Any external certification or evaluation requested by the Client is conducted independently of Josefina LLC. Where evaluation requires removal of a gemstone, dismantling and remounting may be necessary and may result in additional costs or structural or aesthetic changes not covered under warranty. By requesting external evaluation, the Client assumes all associated risks, costs, and outcomes.

19. Intellectual property

All designs — including pieces on our Site, Custom Made-to-Order, Simple Made-to-Order, and One-of-a-Kind pieces, and any concepts developed during the design process — remain the intellectual property of Josefina LLC. Clients may not reproduce or replicate any designs or concepts with other jewelers.

All content on this Site, including images, designs, text, logos, and graphics, is the exclusive property of Josefina LLC and protected by intellectual property laws. Unauthorized use, reproduction, or distribution is strictly prohibited without prior written consent.

20. Limitation of liability

To the fullest extent permitted by law, Josefina LLC's liability is limited to the purchase price of the product. Josefina LLC shall not be liable for indirect, incidental, or consequential damages, or loss of use or opportunity.

21. General provisions

21.1 Assignment

The Client may not assign, transfer, or delegate any rights or obligations under these Terms without prior written consent. Josefina LLC may assign or transfer its rights and obligations without the Client's consent.

21.2 No waiver

Failure to enforce any provision shall not constitute a waiver. Any waiver must be in writing and signed by Josefina LLC.

21.3 No third-party beneficiaries

These Terms are intended solely for the benefit of Josefina LLC and the Client.

21.4 Communication and notices

All communication relating to sizing, adjustments, repairs, remakes, technical modifications, or project instructions must be conducted in writing via email. Verbal communication will not be relied upon for instructions or approvals. 21.5 Severability

If any provision is found invalid or unenforceable, it shall be severed and the remaining provisions shall remain in full force.

21.6 Force majeure

Josefina LLC shall not be liable for delay or failure to perform resulting from events beyond its reasonable control, including natural disasters, supply chain disruptions, governmental actions, or labor disruptions.

21.7 Governing law and dispute resolution

These Terms are governed by the laws of the State of New York. Any dispute shall first be addressed through good-faith negotiation; if unresolved, disputes shall be resolved through binding arbitration in New York.

21.8 Entire agreement

These Terms, together with the FAQ, Terms of Use, and Privacy Policy, constitute the entire agreement between the Client and Josefina LLC and supersede all prior communications or agreements.

These Terms of Use govern your access to and use of www.josefinabailleres.com (the "Site"), including all content, functionality, and services made available on or through it. By accessing or using the Site, you agree to be bound by these Terms, as well as our Terms & Conditions, Privacy Policy, and FAQ, which are incorporated by reference. If you do not agree, you must not use the Site. For purchases, commissions, services, shipping, returns, production timelines, and other commercial matters, the Terms & Conditions prevail.

1. Use of the site

You may use the Site only for lawful purposes. You agree not to use the Site in any way that violates applicable law; to engage in fraudulent or misleading conduct; to impersonate Josefina LLC or any person or entity; to interfere with the functioning or security of the Site; to introduce viruses or harmful code; to scrape, copy, monitor, or reproduce content without authorization; or for any commercial purpose not expressly approved in writing. Josefina LLC may restrict or terminate access for any use that violates these Terms or may harm the Site, the brand, or other users.

2. Access to the site

Josefina LLC may withdraw, modify, suspend, or discontinue the Site, or any part of it, at any time without notice. We do not guarantee the Site will always be available, uninterrupted, secure, or error-free. You are responsible for making all arrangements necessary to access the Site and for ensuring that anyone accessing it through your connection complies with these Terms. Any information you provide must be accurate, current, and complete.

3. Intellectual property

All content on the Site — including jewelry designs, images, photography, text, graphics, logos, videos, layout, artwork, copy, product descriptions, code, and digital materials — is the exclusive property of Josefina LLC or its licensors, protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, republish, modify, distribute, display, transmit, create derivative works from, or commercially exploit any content without prior written consent. You may print or download a reasonable number of pages for personal, non-commercial use only, provided you do not modify content or remove proprietary notices. Unauthorized use terminates your right to use the Site immediately.

4. Brand use and endorsement

You may not state or imply that Josefina LLC has endorsed, sponsored, approved, or is affiliated with you, your business, or your content without prior written consent. Josefina LLC does not currently offer any public brand ambassador, sponsorship, or endorsement program unless expressly stated in writing.

5. Reliance on information

Content on the Site is provided for general information only. While we seek to present information accurately, we do not guarantee that all content is complete, accurate, current, or error-free. Reliance on Site content is at your own risk. Operational details — production timelines, custom design, pricing, payment, shipping, warranty, repairs, returns — are explained in our FAQ and governed by our Terms & Conditions.

6. Products, services, and purchases

Nothing on the Site constitutes a binding offer to sell. All purchases, commissions, pre-orders, Revive projects, and other services are governed exclusively by our Terms & Conditions. Josefina LLC may accept or decline orders, modify or discontinue products or services, update pricing or availability, and limit quantities or access.

7. User submissions and communications

Inquiries, forms, emails, feedback, and other submissions may be used to respond to your request, provide services, improve operations, or otherwise act in accordance with our Privacy Policy. You agree not to submit content that is unlawful, fraudulent, defamatory, abusive, infringing, harmful, obscene, or misleading. Josefina LLC reserves the right to remove or refuse any submission. If the Site permits reviews or comments, such submissions are deemed non-confidential and non-proprietary.

8. Third-party links

The Site may contain links to third-party websites or services, provided for convenience only. Josefina LLC does not control and is not responsible for their content, accuracy, privacy policies, terms, or practices. Use of third-party websites is at your own risk.

9. Privacy

All information collected through the Site is subject to our Privacy Policy. By using the Site, you consent to the collection, use, and disclosure of your information in accordance with it.

10. Geographic access

Users who access the Site from outside the United States do so at their own initiative and are responsible for compliance with local laws. International purchases and shipments are governed by the Terms & Conditions.

11. Disclaimer of warranties

The Site and all content and services are provided "as is" and "as available." To the fullest extent permitted by law, Josefina LLC disclaims all warranties — express, implied, statutory, or otherwise — including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted or error-free operation. You are responsible for safeguards on your own devices, systems, and data.

12. Limitation of liability

To the fullest extent permitted by law, Josefina LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of your use of or inability to use the Site, reliance on its content, linked third-party services, or any interruption or technological failure. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Josefina LLC, its affiliates, licensors, service providers, officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, costs, or fees (including reasonable attorneys' fees) arising out of your violation of these Terms, misuse of the Site, infringement of any rights, submitted content, or violation of any law or third-party rights.

14. Copyright notices

15. Changes to the site and these terms

Josefina LLC may update these Terms at any time; changes become effective upon posting. Continued use after updates constitutes acceptance. The Site itself may be modified, suspended, or discontinued at any time without notice.

16. Termination

Josefina LLC may suspend, restrict, or terminate access to the Site at any time without notice for violations of these Terms or applicable law, or use that may harm Josefina LLC, the Site, or other users.

17. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Disputes are addressed per the dispute resolution provisions of the Terms & Conditions.

18. Waiver and severability

No waiver of any provision shall be deemed a waiver of any other provision or future breach. If any provision is held invalid, the remaining provisions remain in full force.

19. Entire agreement

These Terms, together with the Terms & Conditions, Privacy Policy, and FAQ, constitute the entire agreement regarding use of the Site.

This Privacy Policy describes how Josefina LLC collects, uses, maintains, and protects personal information. It applies to information collected through www.josefinabailleres.com, email communications, consultations, custom design inquiries, and purchases and services. It does not apply to information collected offline or through third-party websites not controlled by Josefina LLC. By using the Site or engaging with Josefina LLC, you agree to this Privacy Policy. We may update it from time to time; continued use constitutes acceptance of updates.

1. Information we collect

Information you provide: name, email address, phone number, shipping and billing address, payment information, design preferences and project details, correspondence and inquiries.

Automatically collected: IP address, browser type, device information, usage data, and browsing activity on the Site.

Transactions and account: purchase history, order details, payment method (processed through third parties), and account information where applicable.

2. How we collect information

Directly from you when you provide it; through communications (email, inquiries, consultations); automatically through cookies and similar technologies; and from third-party platforms where applicable, such as social media interactions.

3. How we use information

To process and fulfill orders; manage custom design and Revive projects; communicate with clients; provide support; improve services and website functionality; comply with legal obligations; and enforce our Terms & Conditions. We may also communicate updates or services relevant to your interaction with Josefina LLC.

4. Payment processing

All payments are processed through secure third-party providers. Josefina LLC does not store full payment card details.

5. Disclosure of information

We do not sell personal information. We may disclose it to payment processors, shipping providers, service providers supporting business operations, professional advisors, and authorities where required by law — and to enforce our Terms & Conditions, comply with legal obligations, or protect the rights, property, or safety of Josefina LLC, our clients, or others.

6. Data retention

We retain personal information only as long as necessary to fulfill transactions and services, comply with legal obligations, resolve disputes, and enforce agreements.

7. Data security

We implement reasonable administrative, technical, and physical safeguards. However, no method of transmission or storage is completely secure; any transmission is at your own risk.

8. Your rights

Depending on your jurisdiction, you may have the right to request access to, correction of, or deletion of your personal data, and to withdraw consent where applicable. To exercise your rights, contact contact@josefinabailleres.com. We may require identity verification before fulfilling requests.

9. California privacy rights

California residents may have rights under the CCPA, including the right to know the categories and specific data we collect, request deletion, know categories of data shared with third parties, and not be discriminated against for exercising these rights. 10. Cookies and tracking

The Site may use cookies and similar technologies to improve functionality and user experience.
